General Terms and Conditions

1. Provider and contact

Autogrid.ch is a Swiss online platform for vehicle listings. It is operated by SargasWeb Petrovic, Grossmatt 2, 8910 Affoltern am Albis, Switzerland, UID CHE-478.652.633. Contact for legal and contractual matters: info@autogrid.ch.

2. Scope and acceptance

• These Terms apply to visitors, registered users, private sellers, garages, dealers and companies using Autogrid.ch or obtaining a listing package.
• By registering, purchasing a package, publishing a listing or using a CSV/XML or DMS import, the user accepts these Terms in the applicable version.
• Any differing terms of the user apply only if expressly accepted in writing by Autogrid.

3. Role of Autogrid.ch

• Autogrid provides a technical platform for publishing, managing and searching vehicle listings and for establishing contact between interested parties.
• Autogrid is not the seller, buyer, owner, vehicle dealer, representative or contractual party to a vehicle sale between users unless expressly agreed otherwise in an individual case.
• Inspection, assessment, price negotiation, purchase contract, payment, handover, warranty, transfer of title and any reversal of a sale take place exclusively between the parties involved.

4. User account, access and account deletion

• Registration, profile, contact and company data must be truthful, current and complete.
• Login credentials must be kept confidential. The user is responsible for actions performed through their account to the extent permitted by law.
• The user can delete the account directly through the designated function in the dashboard. Account-linked listings and account data no longer required for the ongoing operation of the platform are deleted or anonymised unless statutory retention obligations, outstanding claims, security, abuse-prevention or evidentiary interests require limited continued retention.
• Deleting the account does not extinguish payment or other obligations that have already arisen and does not create a right to a refund of packages already paid for.

5. Listings, vehicle data and responsibility

• The advertiser is solely responsible for the accuracy, completeness, timeliness and legality of vehicle data, prices, images, videos, logos, descriptions, location and contact information.
• Listings must not contain misleading or false information, unlawful content, third-party images or trademarks without authorisation, prohibited offers or other impermissible content.
• The user must ensure that the advertised vehicle actually exists and that the user is authorised to publish, market or sell it.
• Any review, approval or technical processing by Autogrid does not constitute confirmation of the accuracy, quality, availability, ownership or legality of a vehicle.

6. Vehicles offered on behalf of a customer or third party

• If a vehicle is published on behalf of a customer, owner or other authorised third party, the advertiser confirms that sufficient consent or authority exists to publish and, where applicable, market the vehicle.
• The advertiser is responsible for ensuring that the use of vehicle data, images, contact details and other content is covered by the necessary rights and permissions.
• Where there are reasonable grounds, Autogrid may request appropriate evidence of authorisation and may deactivate the listing until the matter is clarified.

7. CSV/XML and DMS imports

• CSV/XML and other DMS imports are provided to simplify the transfer of multiple vehicle listings. The importing user remains responsible for every data record transferred.
• By uploading or approving an import, the user confirms that they are authorised to publish all vehicles and content contained in the file. For vehicles offered on behalf of a customer, the user confirms that the necessary consent or authority of the owner or authorised person exists.
• The user is responsible for ensuring that DMS data, image URLs, contact details and other imported content are accurate, current, lawful and free of third-party rights, or are used with the necessary authorisation.
• Autogrid may reject, skip or submit for manual correction data records that are erroneous, incomplete, technically unprocessable or cannot be clearly assigned.
• An import may not circumvent package or listing limits. Only as many new listings are created as the active package allows; existing DMS listings that can be uniquely identified may be updated within the available technical functions.

8. Listing packages, limits and term

• The scope of services, prices, listing limits, import functions and term are determined by the package displayed on Autogrid.ch at the time of purchase or activation.
• Unless expressly stated otherwise, paid packages run for 365 days from activation and are paid in advance.
• During the active term, listings may be created, imported, deactivated, deleted or replaced within the available active listing slots. This does not extend the package term.
• Unused listing slots, deleted listings, sold vehicles or early non-use do not give rise to any right to extension, replacement, credit or refund.
• Automatic renewal or monthly billing applies only where it is expressly displayed and agreed at the time of purchase.

9. Prices, payment and formation of contract

• Prices are displayed in Swiss francs (CHF). Any applicable taxes or charges are shown where relevant.
• For paid packages, the contract is formed when the user confirms the purchase, payment is successfully completed and Autogrid provides or activates the package.
• Payments are processed by external payment service providers, in particular Stripe. Additional terms of those providers may apply to their services.
• If a payment fails, is rejected, cancelled or charged back, Autogrid may refuse activation, deactivate listings or block access to paid functions.

10. Refunds and early termination

Paid listing packages are digital platform services. Once payment has been successfully completed and the package has been made available or activated, there is, to the extent permitted by law, no entitlement to a refund, partial refund or credit, in particular in the event of non-use, early account deletion or termination, deleted or sold vehicles, lack of enquiries, or listings deactivated due to a breach. Mandatory statutory rights remain reserved.

11. Moderation, suspension and removal

• Autogrid may review listings, require changes, deactivate or remove them where there are indications of false information, misuse, infringement of rights, security risks, payment problems or breaches of these Terms or applicable law.
• Autogrid may temporarily suspend or permanently terminate user accounts or functions where necessary to protect the platform, other users or legitimate interests.
• To the extent permitted by law, such action does not give rise to a refund of fees already paid where the action was caused by a breach attributable to the user.

12. Availability, visibility and sales results

• Autogrid endeavours to provide a stable and secure platform but does not guarantee uninterrupted availability, specific loading times, rankings, reach, enquiries or sales results.
• Maintenance, technical faults, security measures, third-party services or force majeure may temporarily restrict availability.

13. Rights to text, images and other content

The user confirms that they hold the necessary rights to all uploaded or imported text, images, videos, logos and other content. For the duration and purpose of platform use, the user grants Autogrid a non-exclusive, territorially unrestricted right to technically store, process, resize, convert and display such content in connection with the relevant listing, search functions, previews and the promotion of Autogrid. Third-party rights remain reserved.

14. Liability

To the extent permitted by law, Autogrid is not liable for user content or statements, the condition, availability, ownership or defects of vehicles, contracts or payments between users, lack of sales results, or indirect or consequential damage. No limitation of liability applies where prohibited by mandatory law, in particular for unlawful intent or gross negligence.

15. Data protection, retention and communication

• The processing of personal data is additionally governed by Autogrid's Privacy Policy and applicable data-protection law.
• Following account deletion or an erasure request, personal data are deleted or anonymised where they are no longer required for the original purposes and no statutory retention duty or overriding legitimate interest, in particular for the establishment, exercise or defence of claims, payment processing, accounting, security or abuse prevention, justifies limited continued retention.
• Contractual, security and service-related communications may be sent by email, through the user account or within the platform.

16. Changes to these Terms

Autogrid may amend these Terms where necessary due to legal, technical, security-related or economic changes. Material changes will be communicated in an appropriate manner. For packages already fully paid and currently running, the service features agreed at purchase generally remain applicable unless mandatory legal or technical reasons require an adjustment.

17. Governing law and jurisdiction

Substantive Swiss law applies, excluding conflict-of-law rules. To the extent legally permissible, the place of jurisdiction is the operator's registered office. Mandatory statutory venues, in particular those protecting consumers, remain reserved.
